Please read these Terms and Conditions ("Terms") carefully before using the website located at drake-manufacturing.com (the "Site") or engaging Drake Manufacturing ("Drake Manufacturing," "Company," "we," "us," or "our") for any manufacturing or related services. By accessing the Site or submitting an inquiry, application, or request for services, you ("you," "Client," or "User") agree to be bound by these Terms.
1. Overview of Services
Drake Manufacturing provides contract manufacturing services to businesses operating in the wellness, legal hemp, and nootropics industries. Information provided on the Site is for general informational purposes only and does not constitute an offer to manufacture products for any particular party.
2. No Obligation to Accept Clients
Drake Manufacturing reserves the right, in its sole and absolute discretion, to accept or decline any prospective client, inquiry, order, or project for any reason or no reason at all. Submission of an inquiry, application, sample request, or any other communication through the Site does not create any obligation on the part of Drake Manufacturing to provide services, enter into a business relationship, or accept any client. Drake Manufacturing may decline to work with a prospective client at any stage of the discussion or qualification process, before or after any preliminary communications have occurred.
3. Manufacturing Service Agreements
Clients who are accepted and qualified to work with Drake Manufacturing will be required to enter into a separate, individually negotiated Manufacturing Service Agreement ("MSA") with Drake Manufacturing prior to the commencement of any manufacturing services. Each MSA will set forth the specific terms and conditions applicable to that client's engagement, including but not limited to matters such as pricing, minimum order quantities, product specifications, lead times, quality standards, intellectual property, confidentiality, compliance and regulatory obligations, liability, and termination.
In the event of any conflict between these Terms and a signed MSA, the terms of the applicable MSA will govern with respect to that client's engagement.
Nothing on this Site constitutes a binding offer to manufacture goods on any specific terms. All pricing, capacity, timelines, and service descriptions referenced on the Site are subject to change and subject to confirmation in a fully executed MSA.
4. Industry-Specific Compliance
Drake Manufacturing operates within the wellness, legal hemp, and nootropics industries. Clients are solely responsible for ensuring that their products, labeling, marketing claims, and distribution comply with all applicable federal, state, and local laws in every jurisdiction where their products are sold or distributed, including laws specific to hemp-derived and nootropic products. Drake Manufacturing's willingness to manufacture a product does not constitute legal advice or a guarantee of regulatory compliance in any jurisdiction.
5. Intellectual Property
All content on the Site, including text, graphics, logos, and images, is the property of Drake Manufacturing or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without prior written consent.
6. Disclaimer of Warranties
The Site and its content are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. Drake Manufacturing does not warrant that the Site will be uninterrupted, secure, or error-free.
7. Limitation of Liability
To the fullest extent permitted by law, Drake Manufacturing shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or any communications made through it, prior to the execution of a formal MSA. Liability arising from an active manufacturing engagement will be governed exclusively by the terms of the applicable MSA.

Drake Manufacturing may update or modify these Terms at any time without prior notice. Continued use of the Site following any changes constitutes your acceptance of the revised Terms.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Oregon, without regard to its conflict of law principles.
